Superior Energy Services Announces Closing of Sonic Holdings, LLC Acquisition

HOUSTON, July 15, 2026 (GLOBE NEWSWIRE) -- Superior Energy Services, Inc. ("Superior") today announced the successful closing of its previously announced acquisition of Sonic Holdings, LLC ("Sonic"), a leading provider of proprietary electric feed through technologies ("EFT"), production equipment, drilling wellheads and associated aftermarket services.

The transaction marks another important step in the growth of Superior's Wellsite Solutions segment, expanding the company's portfolio of specialized products and services while strengthening its capabilities across the well lifecycle. Sonic's differentiated technology portfolio, direct-to-operator business model and strong position in the Permian Basin further enhance Superior's ability to deliver mission-critical solutions to customers.

Who is Superior?

Superior Energy Services serves the drilling, completion, and production-related needs of oil and gas companies through a diversified portfolio of specialized oilfield services and equipment used throughout the lifecycle of oil and gas wells.   • Transition Effective Date: September 21, 2026
    First Full Paycheck: October 9, 2026 (paystub will reflect SESI Corporate, LLC)
    Superior Benefits Effective: October 1, 2026

Next Steps:

  • Employee Onboarding (Tentatively August 17 – 21): You will receive access to our HR system (UKG) to complete onboarding tasks such as tax forms, direct deposit setup, and policy acknowledgments. Additional details will be shared closer to the onboarding dates.

  • Benefits Open Enrollment (Tentatively August 31 – September 11): You will complete enrollment in Superior’s benefits program, effective October 1.  To help you prepare, we’re sharing the 2026 Superior Benefits Guide, which outlines our benefits offerings. We will notify you when it’s time to complete your enrollment in Late August.   

We are also sharing the Superior Employee Handbook and Expense Guidelines for your review in advance of the onboarding process.

One other important note regarding payroll dates during the transition.  Your final paycheck with Sonic/Vensure will be on September 30, which will be for time worked between September 13 – 20.  Your first full two-week paycheck with Superior will be on October 9 for time worked between September 21 – October 4.

How do I complete my onboarding in UKG?

Important Dates
   - Onboarding Period: August 17 – 21, 2026
   - Official Start Date with Superior: September 21, 2026
   - First Pay Date from SESI Corporate, LLC: October 9, 2026

Getting Started
On August 17, you will receive an email from Superior Energy Services ([email protected]) to your personal email address with a link to begin your onboarding tasks in UKG, our HR and payroll system. These tasks will include:

   - Entering your contact information
   - Completing policy acknowledgements
   - Submitting tax forms
   - Setting up direct deposit (please have your banking details ready)

To guide you through each step, we’ve included a Step-by-Step Onboarding Guide for reference.

Job Title Alignment
As part of the transition, you may notice a slight change in your job title. Titles have been mapped to the closest equivalent within Superior to reflect your current role and responsibilities. If you have any questions or feel your title doesn’t accurately represent your position, please reach out—we’re happy to clarify.

How do I enroll in Superior benefits?

We’re now entering one of the final phases of your transition to Superior — Benefits Enrollment.

    • Important Dates:
      Special Benefits Enrollment: August 31 – September 11, 2026
  • Benefits Effective Date: October 1, 2026 

How to Enroll in Superior Benefits:
Please review the 2026 Superior Benefits Guide prior to enrollment. Key details on the enrollment process begin on page 4.

On August 31, 2026, you will receive an email from Superior’s benefits platform ([email protected]) sent to the email address used during onboarding. This email will include a link to begin your enrollment.

Dependent Documentation Requirement
You may elect to cover your eligible dependents during the enrollment process. You will need enter their name, date of birth, Social Security number, relationship, and gender.  In addition, you will be required to upload documentation as indicated on the attached Dependent Eligibility Chart.  To ensure dependent coverage becomes effective on October 1, 2026, all required documentation should be submitted as soon as possible during enrollment. Delays in submitting documentation may affect when or if dependent coverage can begin.

 

How to Enroll in the Superior 401(k) Plan
You are now eligible to enroll in the Superior 401(k) Plan. Employees who complete enrollment now will have contributions begin with the October 9, 2026 paycheck. You may also enroll at any time after the transition.  

Follow instructions on the EZ Enroll flyer to set up your contributions in Fidelity to begin contributing to the Superior 401(k) Plan.

Once you are enrolled, you will be able to rollover your Sonic/Slavic 401(k) balance to your Superior 401(k) account.  To contact Slavic 401(k), please call 800-356-3009.

 

Transition from Sonic to Superior Benefits
Your current Sonic benefits will end on September 30, 2026.

Flexible Spending Accounts (FSA), Healthcare Savings Account (HSA), and Commuter Benefits

  • If you contribute to an HSA and wish to transfer your balance to Fidelity, please refer to the Fidelity HSA Transfer How-to Guide.
  • FSA balances (Health Care, Limited Purpose, Dependent Care) will not transfer to Superior. Eligible expenses incurred through September 30, 2026 must be filed with HealthEquity via www.healthequity.com within 90 days. Visit FSAstore.com to identify eligible expenses before the deadline. Unused balances will be forfeited.  
  • Commuter Benefits will not transfer to Superior. Eligible expenses incurred through September 30, 2026, must be filed with HealthEquity via www.healthequity.com within 90 days. Unused balances will be forfeited. 
     

Life Insurance and Disability Coverage

  • Short-Term and Long-Term Disability coverage will be provided at no cost, effective October 1, 2026. If you are enrolled in the Sonic Short-Term Disability (STD) and Long-Term Disability (LTD) plans, our carrier has approved to apply existing tenure for those currently covered towards the standard six-month waiting period and pre-existing condition exclusion provision. If you are not enrolled in the Sonic STD and LTD plans, you will be required to satisfy the six-month waiting period before your coverage becomes effective, and the pre-existing condition exclusion will apply.

            • Employee Voluntary Life Insurance:
              - Existing coverage up to $500,000 will be grandfathered without Evidence of Insurability (EOI). 
              - If not currently enrolled, you may elect up to $200,000 without EOI.

            • Spouse Voluntary Life Insurance: 
              - Existing coverage will be grandfathered without EOI.

              - Coverage not in $10,000 increments may be rounded up without EOI.

              - If not currently enrolled, you may elect up to $50,000 without EOI.

            • Voluntary AD&D and Supplemental Benefits (Critical Illness and Hospital Indemnity) coverage will not be available under Superior's benefit program after September 30, 2026. Employees currently enrolled can apply for portability within 30 days from the end of coverage.  Please contact Marisa for more information should you wish to continue coverage directly with the carrier.

What happens to the Sonic Brand?

What is the new organizational structure?

Brody Whitely will continue to lead Sonic and will report to Bryan Ellis, Division President of Wellsite Solutions. This structure ensures continuity and supports a thoughtful integration process.

What is the timeline for integrating our operations?

As with any acquisition and integration, certain business processes and practices within the two organizations will need to be consolidated. We ask for your support and cooperation with our integration teams as they work to align the two systems. Their goal is to create a unified platform that benefits both our employees and our customers. 

How will we be kept informed about changes and updates during the integration process?

Your supervisors will continue to communicate with you regarding progress and key integration updates. Updates on integration progress will also be shared via email and text.

What communication channels will be used to address questions and concerns?

Employees are encouraged to contact their direct supervisors and HR leaders for immediate questions and concerns. Superior will update employees via email and text messaging regarding integration activities as they are executed.

Will my position be retained after the acquisition?

We are looking forward to combining two great organizations and our goal is to retain top talent to maximize the potential of the combined organization. Retention of Sonic’s talented workforce is critical to the success of the integration into Superior. We aim to retain all Sonic employees and offer opportunities for career growth and geographic relocations.  

What is the process for evaluating employee roles during integration?

The addition of Sonic to Superior’s Wellsite Solutions segment brings valuable technology, products, facilities, and talented employees that further strengthen our ability to serve customers throughout the well lifecycle. As integration planning progresses, we will evaluate organizational structures, roles, and responsibilities across both organizations to ensure we are positioned to support future growth and maximize the combined strengths of the business. 

Are there any potential job cuts anticipated?

There are no anticipated job cuts related to the integration of Sonic into Superior. Our goal is to expand the Sonic business into other regions and create growth opportunities for our team members. We’re committed to sharing these opportunities by providing open dialogue and regular updates. 

Compensation and Benefits

Will my current salary and benefits remain the same?

Your current pay and benefits will largely remain unchanged. One key update is your transition from the Sonic 401K and benefits plans to the Superior 401(k) and benefits plans, which you'll be eligible for shortly after integration. There may be a brief period when 401(k) contributions are paused. More details on this and the full transition to Superior's payroll and benefits will be shared in the coming weeks.

How will the acquiring company's compensation structure affect my pay?

There should be little to no change.

What will happen to my accrued vacation time and other leave benefits?

We will honor your tenure with Sonic to determine your PTO levels. Your current vacation and other leave benefits are currently being evaluated and will be communicated with more details of your transition to becoming a Superior employee.

 

Reporting Structure

Who will be my new direct supervisor?

The organizational structure will initially remain the same for most employees. As we evaluate where there are opportunities to expand our operations and solidify our ability to deliver value to our customers, we will continue to communicate regularly regarding growth opportunities and/or organizational changes. 

How will the new organizational structure impact my team and role?

Initially, there will be minimal change.  There will be future communication as opportunities arise to possibly move individuals and teams.  Our goal is to develop a structure and define roles that create the greatest opportunity for our employees to be successful. 

Work Location and Relocation

Will I be required to relocate to a new office location?

There is no plan currently for relocation to new offices.

If relocation is necessary, what support will be provided?

That will be evaluated in the event relocations would be required.
